These Terms and Conditions ("Terms") establish the agreement ("Agreement") between You ("You", "Your", "User" or "Project") and Nexium Labs Ltd. ("Nexium", "We", "Us" or "Our") governing Your use of the Services as detailed below ("Services") provided through Our Website https://soulverse.us/ (the "Website" or "Platform") for its Application, Soul Super Wallet (the "App" or "wallet"). This Agreement constitutes a binding and enforceable legal contract between Nexium, its affiliates, and subsidiaries worldwide, and You, an end-user of the Services. In relation to the Services, You and Nexium are referred to separately as "Party" and collectively as "Parties".

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE PLATFORM OR THE APP. THESE TERMS GOVERN YOUR USE OF THE WEBSITE, UNLESS WE HAVE EXECUTED A SEPARATE WRITTEN AGREEMENT WITH YOU FOR THAT PURPOSE. WE ARE ONLY WILLING TO MAKE THE WEBSITE AVAILABLE TO YOU IF YOU ACCEPT ALL OF THESE TERMS. BY USING THE WEBSITE, OR ANY PART OF THEM, YOU ARE CONFIRMING THAT YOU UNDERSTAND AND AGREE TO BE BOUND BY ALL OF THESE TERMS. IF YOU ARE ACCEPTING THESE TERMS ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE LEGAL AUTHORITY TO ACCEPT THESE TERMS ON THAT ENTITY'S BEHALF, IN WHICH CASE "YOU" WILL MEAN THAT ENTITY. IF YOU DO NOT HAVE SUCH AUTHORITY, OR IF YOU DO NOT ACCEPT ALL OF THESE TERMS, THEN WE ARE UNWILLING TO MAKE THE PLATFORM OR THE APP AVAILABLE TO YOU. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE WEBSITE OR THE SERVICES.

1. Interpretation

1.1 Modifications: We reserve the right to change or modify these Terms at any time and at Our sole discretion by posting a notification within the App. Any changes to or modifications of these Terms will be in effect as of the "Last Updated Date" referred to at the top of this page. You should review these Terms before using any Services. You agree and understand that by using the Services after the "Last Updated Date" You accept and agree to the revised Terms.

1.2 Comprehensive Agreement: These Terms, along with the Privacy Policy and any rules outlined on the Website, constitute the complete and exclusive Agreement between You and Nexium pertaining to Your use of the Platform or the App. These Terms supersede any prior or contemporaneous negotiations, discussions, agreements, understandings, representations, and warranties, whether written or oral, between You and Us regarding the subject matter.

1.3 Headings: The headings and sub-headings in the Terms are for ease of reference only and are not to be taken into account in the construction or interpretation of any provision or provisions to which they refer.

1.4 Extended meaning: Unless otherwise specified in these Terms, words importing the singular include the plural and vice versa and words importing gender include all genders. The word "include", "includes" or "including" will be interpreted on an inclusive basis and be deemed to be followed by the words "without limitation". The language in these Terms will be interpreted as to its fair meaning, and not strictly for or against any party.

2. About the App

2.1. Nexium is an ecosystem designed for digital sovereignty. It combines a crypto wallet, biometric authentication, and Decentralized Identifiers (DID) for a secure and personalized digital identity experience. Key elements of the App include the SoulID for identity security and SoulScan for biometric authentication.

2.2. As a part of the Platform, Nexium provides access to Soul Super Wallet, which is a non-custodial wallet and designed to allow You to manage Your decentralized digital assets and credentials, which can be accessed through authorized devices running the appropriate iOS or Android operating systems.

2.3. Soul Super Wallet replaces traditional seed phrases with SoulScan, an authentication system utilizing biometric verification, which allows You to access Your wallet. Instead of a seed phrase, SoulScan uses an encrypted authentication mechanism that distributes verification data securely across multiple decentralized storage layers, ensuring that only You can access Your wallet.

3. Services

3.1. Soul Super Wallet: Soul Super Wallet is a comprehensive tool which enables Users to manage digital assets, including cryptocurrencies and Non-Fungible Tokens (NFTs), issue and verify credentials, and interact with decentralized networks within the secure environment of Soul Super Wallet. The wallet would be able to hold both Your identity credentials through SoulID and all crypto assets such as Bitcoin, Ether, and NFTs.

4. Intellectual Property Rights

4.1 Ownership: All intellectual property rights, including patents, copyrights, trademarks, trade secrets, and any other proprietary rights, in and to the software, designs, logos, and related documentation (collectively referred to as "Intellectual Property") developed or licensed by Soul Super Wallet shall remain the exclusive property of Nexium.

4.2 License Grant: Subject to the Terms of this Agreement, Soul Super Wallet grants You a limited, non-exclusive, non-transferable license to access and use Soul Super Wallet's Intellectual Property solely for the purpose of utilizing the Services provided by Soul Super Wallet in accordance with this Agreement.

4.3 Restrictions on Use:

• 4.3.1. You shall not engage in any of the following activities with respect to Soul Super Wallet's Intellectual Property
• 4.3.2. Copying, modifying, or creating derivative works based on Soul Super Wallet's Intellectual Property.
• 4.3.3. Distributing, selling, sublicensing, or otherwise transferring any rights to Soul Super Wallet's Intellectual Property.
• 4.3.4. Reverse engineering, decompiling, disassembling, or attempting to discover the source code or underlying structure of Soul Super Wallet's Intellectual Property.
• 4.3.5. Removing or altering any copyright, trademark, or other proprietary notices contained in Soul Super Wallet's Intellectual Property.
• 4.3.6. Using Soul Super Wallet's Intellectual Property in any manner not expressly authorized by this Agreement.

4.4 Third-Party Intellectual Property: You shall not use Soul Super Wallet's Services in any way that infringes upon the intellectual property rights of any third party. Soul Super Wallet reserves the right to suspend or terminate Your access to the Services if it determines that You have violated this provision.

4.5 Reservation of Rights: Except for the limited rights expressly granted herein, Soul Super Wallet reserves all rights, title, and interest in and to its Intellectual Property, and no other rights are granted to You by implication, estoppel, or otherwise.

5. Confidential Information

5.1 Data sharing liability: You acknowledge and agree that if You choose to share any of Your Data with a third party, whether intentionally or inadvertently, it is solely Your responsibility. We shall not be liable for any loss, damages, or consequences arising from such sharing of Data.

5.2 Protection of Data: You are responsible for protecting Your own Data and ensuring its confidentiality. Sensitive personal information includes but is not limited to:

• 5.2.1. Personally identifiable information such as Your name, address, email address, phone number, date of birth, and social security number.
• 5.2.2. Financial information such as bank account details, credit card numbers, and financial transactions.
• 5.2.3. Health information such as medical history, treatment records, and health insurance information.
• 5.2.4. Any other information that may be considered sensitive or confidential under applicable laws and regulations.

5.3. You agree not to share Your Data with any third party without proper authorization or consent. If You choose to share such Data contrary to this Agreement, We shall not be liable for any loss, damages, or consequences resulting from such disclosure.

6. Privacy and Security

6.1. Soul Super Wallet does not collect or store any Data related to Your digital assets or credentials. We do not access Your biometric Data, and Your wallet is not linked to any central authority.

6.2. While Soul Super Wallet takes steps to ensure the security of the App, You acknowledge that no system is fully secure. You are responsible for securing Your device and ensuring Your credentials, V pin, and vector remain confidential.

6.3. Soul Super Wallet is not liable for any loss or theft of Your assets or credentials.

7. User Responsibilities

You acknowledge and agree that:

• 7.1. You are solely responsible for managing Your credentials. Soul Super Wallet does not store Your credentials. If You lose access to Your credentials, You may lose access to Your digital assets permanently.
• 7.2. Soul Super Wallet does not store Your biometric Data or private authentication details. To ensure continued access, users should follow the recommended backup methods provided within the App. If You lose access to Your authentication method, recovery may not be possible, resulting in permanent loss of access to Your wallet.
• 7.3. Users are responsible for securing their authentication method.
• 7.4. Users may delete their SoulID from the App, which removes their access credentials. However, since backups are stored on decentralized storage and recovery is done through SoulScan, users can still regain access.
• 7.5. You are responsible for all transactions conducted through the App, including the purchase, sale, or transfer of digital assets. Once initiated, transactions are irreversible.
• 7.6. You are responsible for ensuring that Your use of Soul Super Wallet complies with all applicable laws and regulations in Your jurisdiction.
• 7.7. Soul Super Wallet is a non-custodial wallet, meaning that it does not hold or control Your assets or credentials.

7.8. By using Soul Super Wallet, You acknowledge the following risks:

• 7.8.1. Cryptocurrency Volatility: The value of digital assets is volatile, and You may incur losses due to fluctuations in market prices.
• 7.8.2. Transaction Irreversibility: Once a transaction is confirmed on the blockchain, it cannot be reversed, and You may lose access to Your assets if a transaction is sent incorrectly.
• 7.8.3. Security Risks: Soul Super Wallet cannot guarantee against security breaches, hacks, or loss of Data. You are responsible for protecting Your device and credentials.
• 7.8.4. No Control over Blockchains and Digital Assets: The App is not the creator of, and does not have any control over, any of the Digital Assets that the App allows You to use. You accept and acknowledge that there are risks associated with utilizing any Digital Assets network, including, but not limited to, the risk of unknown vulnerabilities in or unanticipated changes to the network protocol. You acknowledge and accept that the App is not responsible for any harm occurring as a result of such risks.
• 7.8.5. No Control over Actions of Third Parties: The App connects with third-party services. In this case, You are solely responsible for Your interactions with said third parties. Moreover, We are not liable for any unauthorized third-party activities, including without limitation the use of viruses, phishing, brute forcing, or other means of attack against the App or services.
• 7.8.6. No Control over Your Own Actions: We will not be responsible or liable to You for any use of our services, including but not limited to any losses, damages, or claims arising from Your personal errors, misbehavior, and/or any activities such as forgotten mnemonic keys, providing incorrect information for constructing transactions, loss of Your master private key, and others. In other words, You have to be responsible for Your own Digital Assets, carefully guard Your master private key and mnemonic keys, and keep them private.
• 7.8.7. Accuracy of Information: You represent and warrant that any information You provide via the services is accurate and complete. You accept and acknowledge that the App is not responsible for any errors or omissions that You make in connection with any Digital Assets initiated via the services, for instance, if You mistype a Digital Assets or wallet address or otherwise provide incorrect information.
• 7.8.8. Risks Associated with the Blockchain Protocol: The App and its related services are based on the blockchain protocol. As such, any malfunction, unintended function, unexpected functioning of, or attack on the blockchain protocol may cause the App to malfunction or function in an unexpected or unintended manner.
• 7.8.9. Risk of Unfavourable Regulatory Action: Blockchain technologies have been the subject of scrutiny by various regulatory bodies around the world. The functioning of the App and services could be impacted by one or more regulatory inquiries or actions, including the licensing of or restrictions on the use, sale, or possession of Digital Assets.
• 7.8.10. Unanticipated Risks: Digital Assets are a new and untested technology. In addition to the risks discussed, there are risks that We cannot anticipate. Further risks may materialize as unanticipated combinations or variations of the discussed risks or the emergence of new risks.

8. Your Representations and Warranties

You hereby represent and warrant to Us as follows:

• 8.1. You are at least eighteen (18) years old, or the age of majority in Your jurisdiction, whichever is higher, ("Eligible Person") and have the full right, power, and authority to enter into and comply with these Terms.
• 8.2. You have the legal capacity to enter into contracts under applicable laws and have read, understood, and accepted these Terms.
• 8.3. You are not permitted to access the Platform or the App if You are not an Eligible Person or are acting on behalf of a person who is not an Eligible Person and must disconnect Your wallet and any linked accounts, cease usage of, and exit the Website immediately.
• 8.4. Entering into and performing Your obligations under these Terms does not and will not conflict with any other agreement or obligation to which You are bound.
• 8.5. Your use of the Platform or the App does not infringe on the intellectual property rights or other rights of any third party.
• 8.6. You will not introduce any viruses, worms, malware, Trojan horses, or other harmful code to the Platform or the App.
• 8.7. You will not misrepresent Your affiliation with any person or entity, including by impersonating another person or entity.
• 8.8. You will not engage in any activity that is illegal, fraudulent, or harmful to the Platform or the App, its users, or Our reputation.

9. No Representations and Warranties by App and/or Platform

• 9.1. We will not be liable for any delay or failure to render the Services resulting from any Force Majeure Event.
• 9.2. You may access Our Platform or the App at Your own risk. We are not responsible or liable for any loss or damage, including injuries, death, or loss of property, that You or anyone else may suffer while accessing Our Platform.
• 9.3. You agree that Our Platform or the App may contain third-party advertisements and links to websites or services owned and operated by Our affiliates and/or third parties ("Third Party Content"). We do not endorse the Third Party Content or services of any third parties included on Our Platform or the App. We cannot guarantee the accuracy, reliability, or quality of such Third Party Content. Your reliance on Third Party Content is at Your own risk. Any claims that You have regarding Third Party Content should be directed to the third party in question.
• 9.4. We will not be held responsible for any issues with the storage, deletion, delivery, or accessibility of information or materials to the extent allowed by law.
• 9.5. We do not provide any warranty for Our content, which is provided on an "as is, as available" basis.
• 9.6. We are not responsible for any errors or inaccuracies in the team starting line-up Data provided on Our Platform or the App, as it is obtained from external sources or publicly available information.
• 9.7. We are not responsible for any inaccuracies in calculating reward points or the selection of winners due to inaccurate or incomplete information received from any third-party service provider.
• 9.8. We make no representations or warranties regarding the quality, suitability, or merchantability of any prizes and are not liable with respect to the same.
• 9.9. We will not be liable for Your inability to access Our Platform or the App for any reason beyond Our control such as network outage, telecommunication failure, internet suspension, virus, or malware.
• 9.10. We are not responsible for any errors in communication, or omissions in communication, including any errors made by You, which may prevent the results from being communicated to You.
• 9.11. We are not liable for any consequences arising from You sharing any confidential information, including but not limited to credentials, with any other person.

10. No Fiduciary Duties

10.1 This Agreement is not intended to, and does not, establish or impose any fiduciary duties on Soul Super Wallet. To the maximum extent permitted by applicable law, You acknowledge and agree that Soul Super Wallet has no fiduciary duties or liabilities to You or any other party. Any such duties or liabilities that may be recognized at law or in equity are hereby explicitly disclaimed, waived, and nullified by Soul Super Wallet. You further acknowledge and agree that Soul Super Wallet's only obligations to You are those expressly outlined in this Agreement.

10.2. Professional Advice: All information provided in connection with Your access and use of Soul Super Wallet's Services is solely for informational purposes and should not be construed as professional advice. Prior to making any financial, legal, or other decisions based on the Services, You are strongly encouraged to seek independent professional advice from a licensed and qualified individual in the relevant area.

10.3. Tax Advice: Nothing contained herein constitutes legal, financial, business, or tax advice. You are strongly advised to consult with appropriate advisors before engaging in any activities. All information provided by Soul Super Wallet is for informational purposes only and should not be construed as tax advice.

11. Third Party Links

11.1 Soul Super Wallet may integrate with third-party services or platforms, such as KYB, KYC, cryptocurrency exchanges, on-ramping and off-ramping service providers, or decentralized finance (DeFi) protocols. By using these features, You agree to abide by the terms and conditions of those third parties. Soul Super Wallet is not responsible for the actions, services, or products of these third parties.

11.2 If Soul Super Wallet contains links to other sites and resources provided by third parties, these links are provided for Your convenience only. This includes links contained in advertisements, such as banner advertisements and sponsored links. You acknowledge and agree that Soul Super Wallet is not responsible or liable for: (i) the availability or accuracy of such websites or resources; or (ii) the content, products, or Services on or available from such websites or resources.

11.3 Links to such websites or resources do not imply any endorsement by Us of such websites or resources or the content, products, or services available from such websites or resources. You acknowledge sole responsibility for and assume all risk arising from Your use of any such websites or resources. If You access a third-party website or service or share Your content on or through any third-party website or service, You do so at Your own risk, and You understand that these Terms and the Privacy Policy do not apply to Your use of such sites.

12. Warranties and Disclaimer

12.1 THE PLATFORM OR THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SOUL SUPER WALLET DOES NOT WARRANT THAT THE PLATFORM OR THE APP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED.

12.2 YOU ACKNOWLEDGE THAT DATA YOU PROVIDE WHILE ACCESSING OR USING THE SERVICES MAY BECOME IRRETRIEVABLY LOST OR CORRUPTED OR TEMPORARILY UNAVAILABLE DUE TO A VARIETY OF CAUSES, AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY DENIAL-OF-SERVICE ATTACKS, SOFTWARE FAILURES, VIRUSES OR OTHER TECHNOLOGICALLY HARMFUL MATERIALS, INCLUDING THOSE WHICH MAY INFECT YOUR COMPUTER EQUIPMENT, PROTOCOL CHANGES BY THIRD-PARTY PROVIDERS, INTERNET OUTAGES, FORCE MAJEURE EVENTS OR OTHER DISASTERS, SCHEDULED OR UNSCHEDULED MAINTENANCE, OR OTHER CAUSES EITHER WITHIN OR OUTSIDE OF OUR CONTROL.

13. Prohibited Activities

• 13.1 Cyberattack: Activities that seek to interfere with or compromise the integrity, security, or proper functioning of any computer, server, network, personal device, or other IT system, including deploying viruses and denial-of-service attacks.
• 13.2 Fraud and Misrepresentation: Activities that seek to defraud Us or any other person or entity, including providing false, inaccurate, or misleading information to unlawfully obtain property.
• 13.3 Market Manipulation: Activities that violate any applicable law, rule, or regulation concerning the integrity of trading markets, including manipulative tactics such as rug pulls, pumping and dumping, and wash trading.

14. Breach of These Terms

In case of breach of these Terms or if We reasonably believe that You have breached these Terms, We may choose to:

• 14.1. Restrict, suspend, deactivate, or permanently delete Your account with Us, including all related information that You might have provided to Us.
• 14.2. Disqualify You from participating on Our Website or the App.
• 14.3. Refrain from awarding any prizes to You or forfeit Your rewards.
• 14.4. Initiate appropriate civil or criminal proceedings as We may consider appropriate in addition to forfeiture and/or recovery of rewards.

15. Limitation of Liability

15.1. You acknowledge and agree that You assume full responsibility for Your use of the App, Website, and Services. You acknowledge and agree that any information You send or receive during Your use of the Website and service may not be secure and may be intercepted or later acquired by unauthorized parties. You acknowledge and agree that Your use of the Website and the Service is at Your own risk.

15.2. Recognizing such, You understand and agree that, to the fullest extent permitted by applicable law, neither Soul Super Wallet nor any related entities, suppliers, or licensors will be liable to You for any direct, indirect, incidental, special, consequential, punitive, exemplary, or other damages of any kind, including without limitation damages for loss of profits, goodwill, use, Data, or other tangible or intangible losses or any other damages based on contract, tort, strict liability, or any other theory, even if any of Soul Super Wallet or related entities had been advised of the possibility of such damages, resulting from:

• 15.2.1. The App, Website, or Service.
• 15.2.2. The use or inability to use the App, Website, or Service.
• 15.2.3. Unauthorized access to or alteration of Your transmissions or Data.
• 15.2.4. Statements or conduct of any third party on the App, Website, or service.
• 15.2.5. Any actions We take or fail to take as a result of communications You send to Us.
• 15.2.6. Human errors.
• 15.2.7. Technical malfunctions.
• 15.2.8. Failures, including public utility or telephone outages.
• 15.2.9. Omissions, interruptions, latency, deletions, or defects of any device or network, providers, or software, including but not limited to those that do not permit participation in the service.
• 15.2.10. Any injury or damage to computer equipment.
• 15.2.11. Inability to fully access the App, the Website, the Services, or any other platform.
• 15.2.12. Theft, tampering, destruction, or unauthorized access to images or other content of any kind.
• 15.2.13. Data that is processed late or incorrectly or is incomplete or lost.
• 15.2.14. Typographical, printing, or other errors, or any combination thereof; Or any other matter relating to the App, Website, or service.

15.3. Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to You.

15.4. Soul Super Wallet does not control the blockchain networks or assets that You interact with, and is not responsible for any issues that arise from those interactions.

16. Indemnity

16.1. You agree to defend, indemnify, and hold harmless Us and Our licensors, and each of their respective employees, officers, directors, and representatives, collectively the Indemnified Parties, from and against all liability for monetary damages, contractual claims of any nature, economic loss including direct, incidental, or consequential damages, loss of income or profits, fines, penalties, exemplary or punitive damages, and any other injury, damage, or harm, including reasonable attorney's fees ("Damages") that relate in any way to any demand, claim, regulatory action, proceeding, or lawsuit, regardless of the cause or alleged cause, whether the allegations are groundless, fraudulent, false, or lack merit and regardless of the theory of recovery ("Claims") arising out of or relating to: (i) Your use of the Platform or the App, including any use by Your customers, users, employees, and other personnel; (ii) breach of the Terms or violation of applicable law by You, Your customers, users, employees, and other personnel; (iii) a dispute between You and any third party; (iv) Your alleged or actual infringement or misappropriation of any third party's intellectual property or other rights; and (v) Your Feedback. In the event We receive any third-party subpoena or other compulsory legal order or process associated with Claims described above, then in addition to the indemnification set forth above, You will reimburse Us for Our employees' and contractors' time and materials spent responding to such matters at Our then-current hourly rates as well as Our reasonable attorneys' fees.

16.2. If You are obligated to indemnify Us, then You agree that We will have the right, in Our sole discretion, to control any action or proceeding and to determine whether We wish to settle, and if so, on what terms, and You agree to fully cooperate with Us in the defense or settlement of such Claim.

17. Grievance Redressal Mechanisms

17.1 If You have any complaints or grievances regarding:

• 17.1.1 Any User content that You believe violates these Terms.
• 17.1.2 Your access to the Soul Super Wallet Platform or the App.
• 17.1.3 Any User content that You believe is, prima facie, obscene, defamatory towards You or any other person, or involves impersonation in an electronic form, including artificially morphed images of individuals, Please share the same with Us by writing to connect@soulverse.us.

17.2. In Your complaint or grievance, please include the following information:

• 17.2.1 Your name, address, contact number, and email address.
• 17.2.2 Your relation to the subject matter of the complaint, whether You are the complainant or acting on behalf of an affected person.
• 17.2.3 The name and age of the person aggrieved or affected by the subject matter of the complaint, if You are acting on behalf of such person, and a statement, under penalty of perjury, that You are authorized to act on behalf of such person and to provide such person's personal information to Us in relation to the complaint or grievance.
• 17.2.4 Description of the complaint or grievance with clear identification of the User content in relation to which such complaint or grievance is made.
• 17.2.5 A statement that You believe that the User content violates these Terms.
• 17.2.6 A statement that the information provided in the complaint or grievance is accurate.
